The Board of Directors of Dexelance S.p.A., having met today following the Shareholders’ Meeting, has adopted the resolutions outlined in the press release, available on the Company's website and conveyed via the 1Info SDIR system.

Dexelance S.p.A. hereby announces that on the 23 April the Company's management will attend the conference “Appuntamento alle Colonne” organized by Banca Akros at the Banco BPM offices in Piazza Meda, Milan.

Dexelance S.p.A. hereby announces that the additional deadline provided for by Article 144-sexies of Consob Regulation No. 11971/1999 for the submission of lists of candidates for the appointment of the Board of Statutory Auditors expired on 5 April 2026.

Dexelance S.p.A. hereby announces that, in view of the Shareholders’ Meeting convened for April 27, 2026, which will, inter alia, resolve on the renewal of the Board of Directors and the Board of Statutory Auditors, the lists of candidates for the position of member of the Board of Directors and of the Board of Statutory Auditors, together with the related proposed resolutions on items 6–10 and 11–13 on the agenda, have been filed at the Company’s registered office within the terms set forth by law and the bylaws.
